People with Significant Control

Register of People with Significant Control (PSC)

All academies need to have a register which sets out when individuals have significant control (This legalisation came in on the 6th April 2016). This legislation was designed for trading companies but applies to all limited companies.

A PSC is one of the following:

  1. Own directly or indirectly own more than 25% of the shares in the company
  2. Directly or indirectly has more than 25% of the voting rights
  3. Directly or indirectly has the right to appoint or remove the majority of the board
  4. Has rights to exercise control over the entity
  5. Has rights to exercise control over individuals who comply with 1 to 4 above

For Academies we must consider the ‘Members’, rather than Directors/Trustees/Governors. Where there are 3 or fewer Members, they will need to be included on the register. The following information is required for each individual: their name, nationality, date of birth, usual residential address, service address, country of usual residence and when PSC first applied to them (use 6th April 2016 where the individual was a member before that date).
